1. GENERAL PROVISIONS

These Terms and Conditions of Sale ("Terms") govern all purchases made through the website www.KligerWeiss.com, operated by Kliger Weiss Online Sales Department ("KLIGER WEISS," "we," "us," or "our"), a business located at Old Country Rd, Melville, New York 11747. By placing an order on our website, you ("Customer" or "you") agree to be bound by these Terms in their entirety.

These Terms constitute a legally binding agreement under the laws of the State of New York. If you do not agree with any provision herein, you must refrain from placing an order. KLIGER WEISS reserves the right to modify these Terms at any time without prior notice. The version in effect at the time of your order shall govern that transaction.

2. PRODUCTS AND SERVICES

KLIGER WEISS sells high-technology hardware, electronics, and IT-related services exclusively through its online store at www.KligerWeiss.com. All products offered for sale are:

•       Brand new and in original, factory-sealed packaging;

•       Authentic and sourced from authorized distributors or manufacturers;

•       Covered by the manufacturer's warranty, as detailed in Section 8.

Product descriptions, specifications, and images are provided for informational purposes only. KLIGER WEISS makes reasonable efforts to ensure accuracy but does not warrant that descriptions are error-free. In the event of a material discrepancy, the Customer may cancel their order prior to shipment.

3. ORDER PLACEMENT AND ACCEPTANCE

Orders may only be placed online through www.KligerWeiss.com. An order submitted by the Customer constitutes an offer to purchase subject to acceptance by KLIGER WEISS. A contract of sale is only formed when KLIGER WEISS sends a written order confirmation to the Customer's registered email address.

KLIGER WEISS reserves the right to refuse or cancel any order at its sole discretion, including in cases of product unavailability, pricing errors, suspected fraud, or inability to verify payment. In such cases, any payment received will be fully refunded within ten (10) business days.

4. PRICING AND PAYMENT

All prices displayed on www.KligerWeiss.com are in U.S. Dollars (USD) and are inclusive of applicable sales tax where required by New York law. Shipping and handling fees, if any, are calculated and disclosed at checkout prior to order confirmation.

Payment must be made in full before order shipment. KLIGER WEISS accepts bank transfers, and other payment methods indicated at order placement. By submitting payment, the Customer represents that they are authorized to use the payment method provided.

In the event of a pricing error on the website, KLIGER WEISS reserves the right to cancel the affected order and notify the Customer, who may then choose to reorder at the correct price.

5. SHIPPING, DELIVERY, AND ESTIMATED TIMELINES

5.1 Estimated Delivery Dates — No Guarantee

SHIPPING AND DELIVERY TIMEFRAMES COMMUNICATED ON THE WEBSITE, IN ORDER CONFIRMATIONS, OR BY ANY KLIGER WEISS REPRESENTATIVE ARE ESTIMATES ONLY AND ARE NOT GUARANTEED. KLIGER WEISS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, OR INCONVENIENCE ARISING FROM ANY DELAY IN DELIVERY, REGARDLESS OF THE CAUSE.

5.2 Factors Affecting Delivery

Delivery timelines are subject to, and may be extended without liability due to, any of the following factors:

•       Carrier delays, including those caused by high shipment volume, adverse weather, or logistical disruptions;

•       Customs or import/export delays;

•       Product availability and warehouse processing time;

•       Incomplete, inaccurate, or undeliverable shipping addresses provided by the Customer;

•       Force majeure events, including but not limited to natural disasters, pandemics, strikes, governmental actions, supply chain disruptions, or events beyond KLIGER WEISS's reasonable control;

•       Carrier mishandling, loss, or theft after the package has been tendered to the carrier.

5.3 Transfer of Risk

Risk of loss and title for products purchased from KLIGER WEISS pass to the Customer upon delivery of the product to the carrier at our fulfillment center. KLIGER WEISS is not responsible for packages once they have been tendered to the carrier. The Customer is encouraged to purchase shipping insurance where available.

5.4 Carrier Liability

Once a package has been handed off to the shipping carrier, all claims for delay, loss, or damage in transit must be directed to the carrier. KLIGER WEISS will provide reasonable assistance in filing carrier claims but bears no financial liability for carrier performance.

5.5 Customer Obligations

The Customer is solely responsible for providing a complete and accurate shipping address at the time of order. KLIGER WEISS shall not be liable for non-delivery or delayed delivery resulting from an incorrect or incomplete address. Re-shipment fees may apply if a package is returned due to Customer error.

5.6 Delivery Confirmation

Delivery is deemed complete upon the carrier's recorded confirmation of delivery to the address provided by the Customer. Signature may be required at KLIGER WEISS's discretion for orders above a certain value.

6. RETURNS AND CANCELLATIONS

Orders may be cancelled without penalty before the item has been shipped. Once shipped, orders may not be cancelled.

Returns are accepted within thirty (30) calendar days of confirmed delivery, provided the item is unused, in original packaging, and accompanied by proof of purchase. Items showing signs of use, physical damage caused by the Customer, or missing components may be refused or subject to a restocking fee of up to 15%.

To initiate a return, the Customer must contact KLIGER WEISS at the address on our website and receive a Return Merchandise Authorization (RMA) number. Returns sent without an RMA number will not be accepted. The Customer bears the cost of return shipping unless the return is due to a KLIGER WEISS error or a confirmed product defect.

Refunds will be processed within ten (10) business days of receipt and inspection of the returned item, using the original payment method.

7. LIMITATION OF LIABILITY AND DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE STATE OF NEW YORK, KLIGER WEISS'S TOTAL LIABILITY TO THE CUSTOMER FOR ANY CLAIM ARISING OUT OF OR RELATED TO A PURCHASE SHALL NOT EXCEED THE PURCHASE PRICE PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL KLIGER WEISS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, OR ANY OTHER ECONOMIC LOSS, EVEN IF KLIGER WEISS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES FULLY TO ANY CLAIMS BASED ON DELAY IN DELIVERY.

KLIGER WEISS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, BEYOND THOSE PROVIDED BY THE MANUFACTURER. ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

8. MANUFACTURER'S WARRANTY

All products sold by KLIGER WEISS are covered by the original manufacturer's warranty. The terms, duration, and scope of coverage vary by product and manufacturer. KLIGER WEISS does not offer its own independent warranty. Warranty claims must be submitted directly to the manufacturer in accordance with their warranty policy.

KLIGER WEISS will provide reasonable assistance in connecting Customers with the relevant manufacturer's support channels but assumes no liability for warranty service or replacement timelines.

9. PRIVACY AND DATA PROTECTION

The collection and processing of personal data provided during the purchase process is governed by our Privacy Policy, available at www.KligerWeiss.com. By placing an order, you consent to the collection and use of your data as described therein, in compliance with applicable New York and federal privacy laws.

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or any transaction with KLIGER WEISS shall be subject to the exclusive jurisdiction of the state and federal courts located in Suffolk County, New York.

Prior to initiating formal legal proceedings, the Customer agrees to contact KLIGER WEISS in writing and allow thirty (30) calendar days to attempt an amicable resolution of the dispute. This obligation does not prevent either party from seeking emergency injunctive relief.

Any legal action against KLIGER WEISS must be commenced within one (1) year from the date on which the cause of action accrued, regardless of any statute of limitations to the contrary, to the extent permitted by New York law.

11. MISCELLANEOUS

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The failure of KLIGER WEISS to enforce any right or provision shall not constitute a waiver of that right or provision.

These Terms, together with the order confirmation and any applicable manufacturer warranty, constitute the entire agreement between KLIGER WEISS and the Customer with respect to the purchase of products and supersede all prior representations, agreements, and understandings.
